This document constitutes an offer by D1 Capital Limited Liability Company to enter into a License Agreement (the “Agreement”) with any individual and/or legal entity that accepts this public offer (the “Offer”) on the terms set out below.

Full and unconditional acceptance of this Agreement is deemed to occur upon the Licensee’s performance of actions constituting use of the Platform, including the payment of the License Fee (within the meaning of clause 1.5 of the Agreement).

This Agreement applies to persons who first perform actions constituting use of the Platform after the publication of this Agreement. The date of publication is set out at the top of this Agreement.

The Agreement may be amended at the Licensor’s discretion unilaterally at any time without any special notice to Licensees. A new version of the Agreement takes effect from the moment it is posted on the Licensor’s Site. Use of the Platform after a new version takes effect signifies the Licensee’s consent to the new version.

1. Terms and Definitions

1.1. “Offer” — this Agreement, the Licensor’s public offer to enter into a license agreement on the terms contained in the Offer.

1.2. “Acceptance” — the Licensee’s full and unconditional acceptance of the terms of the Agreement. Acceptance is deemed to be the fact of the Licensee’s payment of the Fee for the grant of a Simple (non-exclusive) License.

1.3. “Licensor” — the party to this Agreement that holds the exclusive rights to the Platform (the rights holder) and grants the Licensee a non-exclusive right to use the Platform.

1.4. “Licensee” — the party to this Agreement (an individual and/or legal entity) that accepts the non-exclusive right to use the Platform.

1.5. “Simple (non-exclusive) License” — the non-exclusive right granted to the Licensee to use the Platform for personal purposes, without the right to modify or otherwise adapt it, without the right to distribute it, and with the Licensor retaining the right to grant licenses to other persons.

1.6. “License Fee” — the payment for the right to use the Platform in accordance with this Agreement.

1.7. “Platform” — the software for electronic computing machines developed by the Licensor under the name “D1 Atlas,” the exclusive rights to use which belong to the Licensor. The Platform is hosted on the Licensor’s servers and provided to the Licensee over the Internet in the form of a cloud-based version — SaaS, without downloading a distribution package.

1.8. “Personal Account” — the private part of the Platform, the Licensee’s personal page through which access to the Platform’s functions is provided using a Login and Password.

1.9. “Account” — the unique Login and Password used by the Licensee to obtain access to the Platform.

1.10. “Registration” — the process of creating a new Account for the Licensee in order to obtain access to the Platform’s Personal Account.

1.11. “Login” — the identifier used by the Licensee in the course of using the Platform.

1.12. “Password” — a character combination that, together with the Login, ensures identification of the Licensee when using the Platform.

1.13. “Functionality” — the capabilities of the Platform.

1.14. “Site” — the Licensor’s website on the Internet: https://d1capital.ru/

1.15. “Accounting Period” — the term of the Licensee’s use of the Platform.

1.16. This Agreement may use other terms and definitions, which shall be interpreted in accordance with the text of this Agreement. In the absence of an unambiguous interpretation, guidance shall be sought: first — from the Licensor’s Site; second — from the legislation of the Russian Federation; and third — from the meaning that has become established on the Internet.

2. Subject Matter of the Agreement

2.1. The subject matter of this Agreement is the Licensor’s transfer to the Licensee of the rights to use the Platform on the terms of a Simple (non-exclusive) License.

2.2. The Licensee undertakes to pay the License Fee to the Licensor in accordance with the terms of this Agreement.

2.3. The Simple (non-exclusive) License includes the right to use the Platform, limited to the right to launch and use the Platform in accordance with its Functionality. The Licensee is not entitled to transfer the acquired right to third parties.

2.4. Under this Agreement, only the functionality of the Platform that was requested by the Licensee on the Licensor’s Site at the time of payment of the License Fee is supplied. All additional services are provided on a paid basis under a separate agreement.

2.5. The term of the transferred rights is limited to the term of this Agreement corresponding to the period paid for. The Licensee may extend the term of the Simple (non-exclusive) License by paying the License Fee for a new term.

2.6. The Platform may be used both within the territory of the Russian Federation and beyond its borders.

2.7. The Licensor warrants that it holds the full scope of rights to the Platform necessary to grant them to the Licensee.

2.8. The right to use the Platform is granted only to the Licensee, as well as to the Licensee’s employees and persons authorized by the Licensee, without the right to transfer it to any other third parties.

2.9. The Licensee is not granted ownership of the Platform and its components, but only the right to use it in accordance with the terms of this Agreement.

2.10. The Licensee is not granted any rights to use the trademarks and service marks of the Licensor and/or its partners.

2.11. The Licensor grants the Licensee a non-exclusive and non-transferable right to use the Platform, provided that neither the Licensee nor any other persons acting with the Licensee’s assistance shall: copy or modify the Platform’s software; create programs derived from the Platform; penetrate the software in order to obtain program codes; or modify the Platform in order to gain unauthorized access to it.

2.12. Acceptance of the Offer is effected by payment of the License Fee. By accepting the Offer, the Licensee expresses full and unconditional consent to the terms of the Agreement.

3. Procedure for Payment of the License Fee

3.1. The Licensee shall pay the Licensor the License Fee for the right to use the Platform in the amount and in the manner specified on the Licensor’s Site, for the term of the selected Accounting Period.

3.2. Payment of the License Fee is made on a prepayment basis in the amount of 100 (one hundred) %.

3.3. Upon the initial acquisition of the right to use the Platform, payment is made 1 (one) business day before the intended start of use. Upon renewal — no later than 3 (three) business days before the start of the new Accounting Period.

3.4. In the event that the Licensee breaches the payment deadlines for a new Accounting Period, the Licensor is entitled to suspend/terminate the provision of the right to use the Platform until payment is received.

3.5. In the event of early termination of this Agreement for any reason, the amount of the License Fee paid is non-refundable to the Licensee.

3.6. The Licensor is entitled to unilaterally change the amount of the License Fee for the following Accounting Period by posting the corresponding information on the Site.

3.7. The moment of the Licensee’s performance of its payment obligations is the date on which the funds are received in full in the Licensor’s settlement account.

3.8. The amount of the License Fee is not subject to VAT pursuant to clause 1 of Article 145.1 of the Tax Code of the Russian Federation.

3.9. To pay the License Fee, the Licensee may use VISA, MasterCard, and Maestro bank cards, the WebMoney, QIWI Wallet, and Yandex.Money online payment systems, as well as other online payment methods. Upon request sent to the email info@d1capital.ru, an invoice may be issued for a non-cash transfer.

3.10. The documents confirming the fact of the transfer of the Simple (non-exclusive) License to the Licensee are this Agreement and the actual payment made under it (Article 1235 of the Civil Code of the Russian Federation, Article 252 and subclause 26 of clause 1 of Article 264 of the Tax Code of the Russian Federation).

4. Terms of Use of the Platform

4.1. Access to the Platform is provided by the Licensor within three business days from the moment of receipt of the License Fee, by sending the Account details to the email address specified by the Licensee.

4.2. The Licensor creates the Licensee’s Account based on the data provided at Registration.

4.3. The Licensee independently sets the Password for logging in to the Account, after which the Licensee obtains access to the Personal Account.

4.4. In the event that the Password is lost or compromised, it may be changed.

4.5. The Licensee shall ensure the protection of the Account details from unauthorized access by third parties.

4.6. The Licensee is entitled to use the Program in the following ways:

  • to access the Platform around the clock (except during scheduled maintenance) using the Internet, and to reproduce the Platform’s interface on the device screen;
  • to use all of the paid functional capabilities of the Platform specified on the Site and in this Agreement.

4.7. The Licensor does not provide the Licensee with communication services and does not organize access to information and telecommunications networks.

4.8. The Licensor bears no responsibility for changes to the rules of use of third-party services and/or their functionality.

4.9. The Platform is provided on an “as is” basis: the Licensee is aware of the essential functional properties of the product, and the Licensee bears the risk of the Platform conforming to the Licensee’s wishes and needs.

4.10. The Licensee shall exercise control over the use of the Platform and ensure the secure storage of access codes.

5. Rights and Obligations of the Parties

5.1. The Licensor shall:

5.1.1. Ensure the round-the-clock availability of the Platform (except during scheduled maintenance).

5.1.2. Provide the Licensee with the ability to register an Account and access the Personal Account.

5.1.3. Provide the Licensee, without charging any additional fee, with technical support on matters related to the functionality of the Platform.

5.1.4. Ensure the confidentiality of the data placed by the Licensee on the Platform for the entire period during which such data resides on the Licensor’s server.

5.1.5. Correct errors in the Platform discovered by the Licensee as promptly as possible. The Parties agree that a precise determination of the time frame for eliminating an error cannot be established.

5.2. The Licensor is entitled to:

5.2.1. Suspend the Licensee’s exercise of the right to use the Platform until the amount of the License Fee is received in the Licensor’s settlement account.

5.2.2. Independently update the version of the Platform and make changes to it without notice to the Licensee, including adding new functional capabilities or removing existing ones.

5.2.3. Terminate this Agreement in the event of a breach by the Licensee of the deadlines for payment of the License Fee or on other grounds provided for in the Agreement.

5.2.4. Unilaterally make changes to this Agreement by issuing new versions.

5.2.5. Unilaterally make changes to the price by posting new information on the Site.

5.3. The Licensee shall:

5.3.1. Use the Platform only in the ways and within the scope of the rights provided for in this Agreement.

5.3.2. Make timely payment of the License Fee.

5.3.3. Refrain from actions that may cause losses to the Licensor or damage to its business reputation.

5.3.4. Not take any actions aimed at reproducing, copying, modifying, decompiling, or disassembling the Platform.

5.3.5. Provide the Licensor with all information and documents necessary for the performance of its obligations under this Agreement.

5.3.6. Provide accurate data at Registration.

5.4. The Licensee is entitled to:

5.4.1. Use the granted right of access to the Platform in accordance with its intended purpose.

5.4.2. Receive the Licensor’s assistance in configuring access to the Platform.

6. Liability of the Parties

6.1. For the failure to perform or improper performance of obligations under this Agreement, the Parties shall bear liability in accordance with the applicable legislation of the Russian Federation.

6.2. The Licensee uses the granted rights to use the Platform at its own risk. The Licensor does not assume responsibility for the conformity of the Platform’s functionality to the Licensee’s tasks.

6.3. In the event that the Licensee breaches the terms and restrictions of this Agreement, the Licensee is an infringer of copyright and bears civil, administrative, and/or criminal liability.

6.4. The Licensor bears no liability in the event of: technological malfunctions of communication channels; the presence of indications of unauthorized access to the Licensee’s Personal Account; or circumstances of force majeure.

6.5. Under no circumstances shall the Licensor bear liability for indirect, incidental, or unintended damage, including lost profits, lost data, or harm to business reputation, caused in connection with the use of the Platform.

6.6. The Licensee agrees that no software is free of errors.

6.7. The Licensee agrees that working with the Platform requires the use of third-party software and equipment, for the quality of whose operation the Licensor bears no liability.

6.8. The Licensee bears full responsibility for the safekeeping of its Login and Password. The Licensor shall not compensate for losses arising from unauthorized access by third parties to the Licensee’s Personal Account.

6.9. The Licensor’s liability under this Agreement is limited to the amount of 10,000 (ten thousand) rubles.

6.10. The expiration of the term of this Agreement, as well as its early termination, does not release the Parties from liability for breaching it during the term of the Agreement.

7. Force Majeure

7.1. The Parties are released from liability for the partial or complete failure to perform their obligations if such failure was the result of circumstances of force majeure that arose after the conclusion of this Agreement. Such circumstances include: war and military action, revolutions, strikes, natural phenomena, fires, epidemics, failures of telecommunications and power networks, the operation of malicious software, as well as other circumstances beyond the will of the Parties.

7.2. During the period in which circumstances of force majeure are in effect, the performance of obligations is suspended, and penalties for the non-performance of contractual obligations are not accrued. The occurrence of such circumstances extends the time for the performance of obligations by the corresponding period.

8. Dispute Resolution Procedure

8.1. Disputes and disagreements between the Parties in the course of performing this Agreement shall be resolved through negotiations.

8.2. If it is impossible to resolve a dispute through negotiations, it shall be referred for consideration to the Arbitrazh Court of the City of Moscow, with mandatory observance of the pre-trial claim procedure.

8.3. The time period for responding to a claim is 10 (ten) business days from the date of its receipt.

9. Confidentiality. Personal Data

9.1. Information concerning the conclusion and performance of this Agreement is entirely confidential and may not be transferred to third parties without the written consent of the other Party, except in cases provided for by applicable law.

9.2. Each Party shall take all necessary measures to protect the Confidential Information, similar to the measures it takes to protect its own confidential information.

9.3. The obligation to protect Confidential Information does not extend to information that: was in the public domain at the time of disclosure; became known from other sources without a breach of the terms of the Agreement; was known to the receiving Party prior to its disclosure; or was disclosed with the written permission of the disclosing Party.

9.4. Neither Party is entitled to use confidential information for personal purposes or for the purpose of deriving profit outside the scope of the performance of this Agreement.

9.5. In the event of the unfair use or disclosure of Confidential Information, the aggrieved Party is entitled to demand compensation for direct proven losses.

9.6. The Parties undertake to comply with all requirements of the applicable legislation on the protection of personal data.

9.7. The purpose of processing personal data is the Licensor’s exercise of the rights and obligations associated with fulfilling the requirements of the law and of this Agreement.

9.8. The Licensee grants the Licensor consent to the processing of the Licensee’s personal data for the purpose of performing the Agreement.

9.9. “Processing” of personal data means the collection, recording, systematization, accumulation, storage, updating, extraction, use, transfer to affiliates of the Licensor, depersonalization, blocking, deletion, and destruction of data while ensuring its confidentiality and security (Federal Law No. 152-FZ of July 27, 2006 “On Personal Data”).

10. Term of the Agreement and Conditions for its Termination

10.1. The Agreement takes effect from the moment of the Licensee’s Acceptance of the Offer — payment of the License Fee in full (Article 438 of the Civil Code of the Russian Federation).

10.2. The Agreement is automatically renewed for a new term upon the Licensee’s payment for each subsequent Accounting Period.

10.3. The Agreement may be terminated by agreement of the Parties, by a court decision, as well as by the Licensor unilaterally, provided that all mutual settlements have been made.

10.4. The Licensor is entitled to terminate the Agreement unilaterally and out of court in the event that the Licensee breaches the procedure for using the Platform. The amount of the License Fee paid is non-refundable.

11. Additional Provisions

11.1. The titles of the sections of this Agreement are provided solely for convenience. The invalidity of individual provisions does not entail the invalidity of the Agreement as a whole.

11.2. Platform messages for Licensees are published on the Site and/or sent individually to the email addresses provided at Registration. Messages published on the Site are deemed delivered from the moment of their publication.

11.3. All ongoing correspondence between the Parties is carried out via email: for the Licensor — info@d1capital.ru and other addresses within the @d1capital.ru domain; for the Licensee — the address specified at Registration.

11.4. The Parties recognize emails sent from the specified addresses as documents equivalent to paper documents signed by hand.

11.5. By accepting the terms of the Agreement, the Licensee consents to receiving additional information and informational newsletters.

11.6. None of the provisions of this Agreement constitutes a transfer of the exclusive rights to the Licensor’s intellectual property.

11.7. In all other respects not provided for by this Agreement, the Parties shall be governed by the applicable legislation of the Russian Federation.
